Website design and hosting terms

These terms cover website creation, hosting and care from £20 per month for business and personal customers. Your accepted quotation identifies the services and price for your website.

Read these terms before accepting your quote or paying. We will provide the agreed terms and service schedule in a form you can keep. Our separate platform and visualiser terms apply to those services.

1 About us and this agreement

1.1 We are VisualiseO Limited, registered in England and Wales under company number 17171606. Our registered office is 27 Beverley Close, Normanton, WF6 1BU, United Kingdom. Our trading name is Visualiseo.

1.2 Contact hello@visualiseo.co.uk for quotations, support@visualiseo.co.uk for service requests and cancellations, legal@visualiseo.co.uk for legal notices, and privacy@visualiseo.co.uk for data protection matters.

1.3 These terms apply to business and personal customers. A consumer is an individual acting wholly or mainly outside their trade, business, craft or profession. Clauses stated to apply only to business customers do not apply to consumers. Clause 16 gives consumers additional rights and takes priority over conflicting terms. Nothing in this agreement removes rights that cannot lawfully be excluded.

1.4 Our agreement consists of these terms, the quotation and service schedule accepted by both parties, any written changes agreed by both parties, and the data processing schedule below where applicable. An expressly agreed variation takes priority over these general terms; the data processing schedule takes priority on personal data matters. We will provide these documents before you accept. Acceptance must be recorded in writing, including by email or electronic signature, and confirmed by us.

1.5 These terms cover website creation and hosting and care. Any separately supplied Visualiseo visualiser, AI service, credits or other subscription remains subject to its own agreed terms and charges. Installing an integration does not automatically include unlimited use of the underlying service.

2 Your website and agreed price

2.1 We will design and build one website with the pages, features, integrations and deliverables listed in your quotation. The quotation will identify the total project price, any exclusions, the number of design revision rounds, the expected timetable and your responsibilities. Advertising that prices start from a particular amount does not fix the price of your project.

2.2 The deposit, instalments, final payment and their due dates will be agreed with you before work starts. We do not apply a standard deposit percentage. Hosting and care have a separate agreed price, even where included in the same quotation.

2.3 We will use reasonable care and skill. Delivery dates depend on receiving agreed content, access, decisions and payments on time. If a delay or requested change affects delivery, we will explain the effect and agree a revised timetable. We will not add charges without your written agreement.

2.4 You must supply accurate information and materials you are entitled to use, nominate an authorised contact, and give consolidated feedback. You remain responsible for your business claims, products, legal notices and lawful use of the website. We remain responsible for implementing any compliance features expressly included in our scope.

2.5 We will give you a preview for approval before launch. Please identify any failure to meet the agreed scope. We will correct our failures to meet that scope without treating them as paid additions or deducting them from your monthly change allowance. New preferences, additional features and changes to an approved design may require a revised quote. Silence alone does not authorise launch.

2.6 We may use AI assisted tools and subcontractors while remaining responsible for our agreed work. The agreed price is for the deliverables, not a promise about the number of manual working hours. Any use of customer personal data by tools or suppliers must comply with the data processing schedule.

3 Hosting and care

3.1 Hosting and care cover one website identified in your accepted quotation and start from £20 per month. Your quotation confirms the full price and agreed service limits before you commit.

3.1a Hosting and care include website hosting, management of the listed domains, the agreed email service, monthly SEO analysis, a monthly website health review, daily website backups retained for seven days and the small changes in clause 4. We use Hostinger for website hosting and Hostinger Email for email hosting. Your quotation must identify the applicable hosting and email plans.

3.2 For hosting and care and any separately agreed additions, your schedule must identify the included domain registrations and renewals, mailboxes, storage and other service limits. Standard registration and renewal charges for the domains listed as included are covered by the package price. Premium domains, additional domains, paid software, increased storage and other external costs are included only where expressly stated. We will obtain your agreement before incurring extra costs on your behalf.

3.3 Hosting is billed monthly in advance and renews monthly until cancelled, with no minimum contract term. The first hosting payment must clear before the site goes live; your schedule will state when the first paid service period begins. Subsequent payments fall due on the billing date recorded in your schedule. Ordinary cancellation stops the next renewal and the website remains available until the end of the period already paid for, unless you ask for earlier removal or a lawful suspension is necessary. Consumer cancellation rights in clause 16 apply separately.

3.4 We are not currently VAT registered and do not currently charge VAT. Prices are in pounds sterling. If our VAT status changes, we will explain the effect on future charges before they take effect, in accordance with applicable law and clause 13.

3.5 Support is provided through the contact channel and during the hours recorded in your schedule. We will assess requests and give a reasonable expected completion time. Unless separately agreed, the package does not include round the clock support, a guaranteed response or repair time, or a guaranteed uptime percentage. We will take reasonable steps to investigate and resolve problems with services we manage.

4 Included small changes

4.1 Unless a different allowance is agreed in your schedule, your package includes up to five small change requests per monthly billing period, subject to a combined maximum of 60 minutes of actual staff time for clarifying, reviewing, making and testing those changes. The allowance is per website and expires at the end of the period. It does not roll over or convert to a refund.

4.2 A small change is a limited update to existing content or presentation which does not add functionality or materially alter the structure or design. Examples include replacing supplied text in an existing section, changing a telephone number, swapping a supplied image into an existing space, updating a link, or making a minor adjustment to the position or spacing of existing content within its current layout.

4.3 Each request must have one clearly defined objective. Applying the same contact detail change consistently across the website counts as one request. A list of unrelated updates may count as several requests, which we will explain before starting. You must supply the final wording and any replacement assets. Revisions to a completed request count as further work, except corrections of our own mistakes.

4.4 New pages or substantial new sections, redesigns, new templates, booking or payment systems, ecommerce functions, integrations, custom features, database changes, extensive content entry, copywriting and changes requiring substantial development or testing are outside the allowance. Several connected requests that together amount to such work will be assessed together. A task does not become a small change solely because an AI tool can generate part of it quickly.

4.5 We will assess scope reasonably, taking account of complexity, time, dependencies, security and testing. If a request falls outside the allowance, we will explain why and either offer a separate quotation or tell you that we cannot undertake it. We will not carry out chargeable work without your written acceptance. We will tell you before a request is expected to exceed your remaining time; you may reduce it, defer eligible work or accept a quote.

4.6 Correcting our own errors and carrying out other included services, such as the monthly reviews, do not consume this allowance. Any occasional additional help is discretionary and does not permanently increase the package allowance.

5 SEO analysis and health reviews

5.1 Each month we will analyse the website using the information and tools reasonably available to us and provide a concise summary of findings and recommended priorities. The analysis may cover indexing, page titles, descriptions, broken links, available search performance data and basic performance indicators. You must provide any necessary access to analytics or search accounts.

5.2 Monthly analysis is not an ongoing SEO campaign. Content writing, link building, advertising, extensive optimisation and implementing recommendations are not automatically included. Eligible small fixes can be requested under clause 4; other work will be quoted separately. We do not guarantee rankings, traffic, enquiries, sales or other commercial results.

5.3 The monthly health review covers basic availability, certificate status, obvious broken functionality and relevant security or software warnings within the services we manage. It is not a penetration test, full accessibility audit or guarantee that every defect or vulnerability will be found. Routine maintenance responsibilities will be recorded in your schedule. We remain responsible for remedying faults caused by our failure to provide the agreed services with reasonable care and skill.

6 Backups and security

6.1 We will arrange daily website backups covering the website files, uploaded assets and database where applicable, with daily restore points retained on a rolling seven day basis. Your schedule will identify any platform or external data that is excluded and any separate supplier backup retention. Email backups are not included unless expressly stated; website backups do not automatically contain mailbox data.

6.2 Recovery from a daily backup can lose changes made since the latest successful backup. Backups are for recovery and are not a permanent archive. We will use reasonable care to maintain usable backups and make reasonable checks of recovery arrangements, but cannot promise recovery of every item in every circumstance. You should retain independent copies of important original content and records. This does not remove our responsibility for the backups we agree to provide.

6.3 Restoration needed because of our own service failure is included. Other restoration work, for example recovery after customer deletion or changes by another supplier, will be assessed and any extra price agreed before work begins. Urgent protective steps may be taken without prior approval where necessary to prevent further harm.

6.4 Both parties must protect access credentials and promptly report suspected compromise. We will use appropriate security measures for services under our control. No internet service can be guaranteed completely secure or uninterrupted. Planned maintenance, supplier incidents and internet failures may cause disruption; we will communicate material issues when reasonably practicable and take reasonable steps to reduce their impact.

7 Domains

7.1 We register and manage the domains listed in your agreed hosting and care schedule on your behalf. You will be recorded as the registered domain holder using accurate details for you or your business. Paying registration charges through our account does not make the domain our property. An existing domain that you bring to us remains registered to you.

7.2 Domain registration provides rights under the relevant registry and registrar terms for a renewable period; it is not a permanent purchase of a name. Registration depends on availability, validation and applicable rules. You are responsible for selecting a name you are entitled to use and responding to verification requests. We will make the applicable supplier terms available before registration or renewal.

7.3 While an included, funded service is active, we will arrange the agreed renewals and notify you of action required from you. We will not deliberately allow a domain to expire without giving reasonable warning of an unpaid renewal or the end of our management responsibility. After cancellation, you must arrange future management and renewal, and we will provide the known expiry date and explain the handover steps.

7.4 We will cooperate with legitimate requests to transfer your domain or change its management. Registrar procedures, verification, expiry, disputes and transfer locks can affect timing. Registry rules applicable to .uk names differ from those for other extensions. We will not promise a date that those rules prevent us from meeting.

7.5 We will not treat your domain as security for an unrelated debt, claim ownership simply because hosting ends, or charge for an action that applicable registry or registrar rules require to be free. The assisted handover charges below pay for the stated practical work; they do not buy domain ownership. Basic release of domain control or mandatory transfer credentials is not conditional on buying an assisted handover package.

8 Website rights and third party services

8.1 You retain ownership of materials you supply and permit us to use them as necessary to perform the agreement.

8.2 Once the agreed website creation charges have been paid, we assign to you the intellectual property rights we own in the bespoke website deliverables created specifically for you, excluding the materials in clause 8.3. The accepted order should be signed by both parties to record this assignment. Until payment, you may use previews for review only unless we agree otherwise.

8.3 We retain rights in our pre-existing tools, reusable components, methods and general know-how. To the extent we own such components incorporated into your paid website, we grant you a perpetual, worldwide, non-exclusive licence to use and modify them as part of that website, including through a replacement provider. Third party software, fonts, images, themes, plugins, platforms and AI supplied materials remain subject to their applicable rights and licences. We cannot assign rights we do not own or promise exclusivity where it is unavailable.

8.4 We will identify material ongoing subscriptions and restrictions before you accept the quotation. Agency licences, hosted platforms and separately supplied Visualiseo services may require replacement licences or continuing subscriptions after you leave. An export may not reproduce a hosted platform's functionality. Any known material restriction on transferring or independently hosting your website must be disclosed before you buy it.

8.5 The exit fee pays for preparing and assisting with handover. It does not impose a second purchase price for bespoke website rights you have already paid for. We will ask before using your business name or website in a public case study or adding an agency credit link.

9 Acceptable use and outside changes

9.1 You must not use the services for unlawful content, infringement, fraud, spam, malware, unauthorised access or activity that materially harms others or the infrastructure. Any storage, sending or traffic limits will be stated in your schedule. We will explain a resource problem and reasonable options before requiring an upgrade, except where urgent action is needed to protect the service.

9.2 You must tell us before giving another supplier access to systems we manage. We are not responsible for faults to the extent caused by unauthorised changes or services outside our control. This does not exclude responsibility for our own acts or omissions. We will agree any charge for investigating or repairing outside work before undertaking chargeable work.

10 Cancellation and exit options

10.1 There is no minimum hosting term. You may cancel by emailing support@visualiseo.co.uk or sending another clear cancellation statement to our contact details. Please identify the website and requested option. We may reasonably verify authority without imposing unnecessary obstacles. If we receive cancellation before the next billing period begins, that renewal will not be charged. The website and included services remain available until the end of the paid period unless you ask for earlier removal or another lawful reason requires suspension. Ordinary cancellation does not give a partial month refund simply because you choose to leave early; clause 16, refunds for our breach and other mandatory rights take priority. We will confirm the final service date and any outstanding balance.

10.2 Removal only costs £0. By default, removal takes place at the end of the paid period. If you specifically ask for earlier removal, we will take the website offline within 48 hours after receiving your authorised, clear request, or on a later date you request. There is no exit penalty and no transfer work is included. Cancelling the whole hosting package also ends the included email service and domain management on the confirmed date; we will make these consequences clear before closing them. Taking a website offline does not automatically delete or surrender its domain registration.

10.3 Website and domain handover costs £50 in total. For the single website, this includes one organised copy of transferable website files, assets and any associated database; available setup notes and relevant configuration information; and standard transfer assistance for the domains included in its agreed package. We will provide transferable credentials securely. Your new provider is responsible for installation, compatibility, new hosting and testing. Rebuilding the website on another platform, development and new provider charges are not included.

10.4 Email migration is quoted individually. Before you commit, we will assess the number and size of your Hostinger Email mailboxes, the receiving provider, available migration methods and the data you want moved. Our written quotation will state the total combined price, including the £50 website and domain handover if requested, the mailboxes and data included, exclusions and timing. A simple combined handover may be quoted at £75 in total, but this is not a fixed price for every migration. No migration charge is incurred without your acceptance. Unless expressly included, calendars, contacts, device-only archives, software licences and device setup are excluded. The quote will identify relevant email DNS changes and the sending and receiving checks included.

10.5 Allow seven calendar days for website and domain handover after we receive the authorised request, agreed handover fee, required access and destination details. Our target is to complete our part within that period; email migration timing will be confirmed in its quotation. This is a practical handover period, not an additional minimum hosting term. We will promptly explain any registrar lock, provider delay, compatibility issue or missing information that changes the estimate. We will agree the cutover date before closing services needed for the move. If a short hosting extension beyond the prepaid period is needed, its price must be agreed in advance; we will not impose another full billing period solely because of our delay. During a transfer, DNS propagation and supplier processing may cause temporary disruption.

10.6 The standard handover includes one destination and one coordinated handover. Domain assistance applies only to domains we manage. You must supply a suitable destination, cooperate with verification and ensure the receiving provider checks the transferred material. We will correct errors in our handover without another fee. Additional destinations, repeated migrations following a change of instruction and work outside the stated scope require a separate quote.

10.7 We will provide access to your own supplied content and return personal data as required by clause 12 and the data processing schedule, whether or not you purchase assisted migration. Disputed service charges do not remove those obligations or the domain rights in clause 7. Release of unpaid bespoke work remains subject to clause 8.

10.8 Before closure we will confirm the date for retrieving your data, the export arrangements and the active and backup deletion periods recorded in your schedule. Do not assume that data or mailboxes will remain recoverable after the service ends; the seven day daily backup window is not a guaranteed post-closure archive. We will allow a reasonable opportunity for agreed return before deletion, consistent with your instructions and the data processing schedule. Residual supplier backups remain protected until their recorded expiry dates and are not used for unrelated purposes. Billing or legal records may be retained separately where law requires. Taking the website offline and permanently deleting its data are separate actions.

11 Project cancellation and suspension

11.1 If you cancel a website project before completion outside an applicable statutory cancellation right, you must pay for work properly completed and reasonable unavoidable third party commitments you authorised, capped at the agreed project price plus separately approved additions. We will mitigate avoidable costs, provide a reasonable breakdown and offset payments already made, refunding any excess. A deposit is not automatically forfeited in full. We will agree the status and rights in any paid, usable unfinished work. For consumers, clause 16 takes priority and no charge applies that would be unfair or unlawful.

11.2 Hosting is prepaid. If the next payment is not received by its due date, the website will be deactivated when the existing paid period ends. We will tell you about the missed payment and deactivation and explain how to restore the service. Deactivation does not mean immediate deletion or transfer of your domain. We will consider genuine invoice disputes in good faith and will not suspend for a payment failure caused by us. We will not charge an undisclosed reactivation fee or continue charging new hosting periods in which no hosting service is supplied; separately approved, unavoidable external charges may remain payable. We will confirm any final closure and data retrieval arrangements before deletion.

11.3 Either party may end the agreement for a material breach not remedied within 14 days of written notice specifying the problem, or immediately if the breach cannot be remedied. We may suspend immediately where reasonably necessary to address unlawful activity, a serious security risk or a legal requirement, explaining the reason as soon as lawful and practicable.

11.4 We may end an ongoing hosting package without customer fault on at least 30 days' written notice. We will refund prepaid charges for the unused period and provide the standard website and domain handover without an administration fee. The same free handover applies if you properly terminate for our material breach. Necessary email migration arrangements will be agreed reasonably. Ending services does not remove accrued claims or duties concerning confidentiality, data or domain control.

12 Confidentiality and personal data

12.1 Each party must keep the other's confidential information secure and use it only for this agreement, except where disclosure is required by law or to an authorised adviser or supplier subject to appropriate confidentiality duties.

12.2 Where we host, access, back up or migrate personal data on behalf of a customer acting as controller, we act as processor and the data processing schedule forms part of this agreement. We will identify the appropriate roles for a personal website, including where its owner's activities are purely personal or household activities. Consumer status alone does not decide data protection roles. The relevant service details and supplier register must be completed before processing starts. Our separate visualiser data processing terms do not automatically describe your hosted website or mailboxes.

12.3 You are responsible for appropriate privacy information, lawful collection and use of personal data, and instructions to us. We are responsible for our processor duties and the security measures we agree to provide. For business contact, invoicing and our own lawful administration, we act as an independent controller as described in our privacy notice.

13 Changes to prices or terms

13.1 An agreed website creation price changes only through an agreed scope change. We may change recurring hosting prices or these terms to reflect a change in applicable law, tax, relevant supplier costs or necessary changes to how the service is delivered. We will give at least 30 days' written notice explaining the reason and effect. Changes must be proportionate, apply prospectively and not affect a period already paid for. If a change disadvantages you, you may end the affected service before it takes effect without a cancellation penalty and receive a refund of unused prepayments for the period after it takes effect. Optional assisted migration remains separately priced; nothing restricts statutory rights.

13.2 We will not retrospectively reduce purchased deliverables or accrued rights. If law requires a shorter notice period, we will give as much notice as reasonably possible.

14 Responsibility and limits

14.1 Nothing excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or anything else that cannot lawfully be excluded or limited.

14.2 Business customers only: Subject to clause 14.1 and to the extent reasonable and permitted by law, we are not liable for indirect or consequential losses, or loss of profit, revenue, anticipated savings or business opportunity. This does not excuse us from providing the agreed services or automatically exclude reasonable direct costs of remedying a service failure.

14.3 Business customers only: Subject to clause 14.1 and applicable law, our total aggregate liability arising out of this agreement is limited to the greater of £1,000 and the total website creation price plus 12 months of hosting fees at the rate applying when the first relevant event occurred. Related events are treated as one event. This limit does not restrict a data subject's statutory rights, a regulator's powers, or any responsibility that cannot lawfully be limited.

14.4 Both parties must take reasonable steps to reduce avoidable losses. A party affected by events genuinely beyond its reasonable control must notify the other and take reasonable mitigation steps. Supplier involvement alone does not remove our responsibility for our own failures or our obligations concerning sub-processors. If an event prevents the material services for more than 30 days, either party may end the affected services and prepaid charges for services not supplied will be refunded.

14.5 Consumers: We are responsible for loss or damage you suffer that is a foreseeable result of our breach or failure to use reasonable care and skill. Loss is foreseeable if it is obvious that it will happen or both parties knew it might happen when making the agreement. The business exclusions and financial cap above do not apply to you. Nothing limits your mandatory rights in relation to defective services or digital content, including damage to your device or other digital content where the law makes us responsible.

15 Disputes and general provisions

15.1 Please send complaints to support@visualiseo.co.uk, or legal@visualiseo.co.uk if unresolved. Both parties will try to resolve disputes through good faith discussion before court proceedings, without preventing urgent relief or allowing a legal deadline to expire.

15.2 These terms and the accepted order record the agreement for these services. Changes must be recorded in writing. Invalid provisions will be limited or removed only to the extent necessary, leaving the remainder effective. Delay in enforcing a right does not waive it. Neither party may transfer this agreement in a way that materially prejudices the other's rights without consent. Subcontracting does not remove our responsibility for performance.

15.3 The laws of England and Wales govern this agreement. For business customers, the courts of England and Wales have exclusive jurisdiction, subject to mandatory rules. Consumers retain the protection of mandatory laws and rights to bring proceedings in the courts of their place of residence where applicable. UK consumers resident in Scotland or Northern Ireland may also bring proceedings in their home courts.

16 Additional rights for consumers

16.1 If you are a consumer entering into the agreement online, by telephone or away from our business premises, you normally have a right to cancel without giving a reason during the 14 days after the day the contract is made. If website creation and hosting are purchased under separate contracts, the period applies separately to each. Any longer statutory period caused by missing cancellation information remains available. For a purchase made at our business premises, a change of mind cancellation right applies only if required by law or separately agreed; your statutory rights concerning faulty services remain unaffected.

16.2 Tell us clearly that you want to cancel by contacting support@visualiseo.co.uk or our postal address in clause 1. You may use the form below but do not have to. Sending the cancellation statement before the period expires is sufficient. We will acknowledge an electronic cancellation. No particular wording or paid phone call is required.

16.3 We will not begin a consumer service during its initial cancellation period unless you expressly ask us to do so. If you request an early start and then cancel during that period, we may charge only a proportionate amount for services actually supplied up to cancellation, calculated against the agreed price, and only where we have supplied the legally required information and obtained the required request. We will not deduct an automatic deposit forfeiture or the standard exit fee. If the legal requirements for charging are not met, no such service charge is payable.

16.4 You lose the initial right to cancel a service only after that service has been fully performed, and only if you expressly requested early performance and acknowledged beforehand that full performance would end that right. Starting work or launching a website does not by itself waive cancellation rights in an ongoing hosting service.

16.5 Where the order separately identifies digital content supplied electronically, we will not supply it during the cancellation period unless you expressly consent and acknowledge that beginning supply ends the cancellation right for that digital content. We will provide confirmation in a form you can keep. Without the required consent, acknowledgement and confirmation, the applicable cancellation protections remain. This provision does not reclassify an unfinished design or hosting service as digital content to remove its cancellation rights.

16.6 For a valid cancellation under this clause, we will reimburse payments due back to you without undue delay and within 14 days after being informed of cancellation, using the original payment method unless you expressly agree otherwise, and without a refund fee. Any lawful proportionate service charge under clause 16.3 will be explained. We will not require payment for optional migration as a condition of exercising cancellation rights.

16.7 Services must meet the statutory standard, including reasonable care and skill and binding information given before purchase. You may be entitled to repeat performance or an appropriate price reduction, including a full refund where the law provides. Digital content must meet applicable statutory quality, fitness and description requirements. Your rights for defective services or content are separate from the initial cancellation period and survive its expiry.

16.8 After the initial cancellation period, ordinary hosting cancellation works as described in clause 10: no minimum term, no further renewal after timely cancellation and continued availability to the end of the paid period. These ordinary arrangements do not override a statutory right to cancel sooner or obtain a refund. We will provide any subscription notices and cancellation facilities required by applicable law.

Optional consumer early start requests

Complete only where relevant. Each choice must be made actively and separately; boxes must not be preselected. Refusing an early start does not prevent ordering; the relevant work or supply will wait until the cancellation period ends.

  • I expressly request website design services to begin during the initial cancellation period. I understand that a lawful proportionate charge may apply if I cancel after work begins, and that I lose the initial cancellation right for this service only once it has been fully performed following my request and acknowledgement.
  • I expressly request hosting and any agreed domain or email setup services to begin during the initial cancellation period. I understand that a lawful proportionate charge may apply if I cancel after these services begin. Starting ongoing hosting does not itself end its cancellation right.
  • For the separately identified digital content [describe content], I expressly consent to supply beginning during the initial cancellation period and acknowledge that my cancellation right for that content ends when supply begins. This does not remove rights concerning defective content or separate services.

Your quotation and service schedule

Before acceptance, we will provide a written quotation and service schedule identifying the customer and contact details; website and domains; agreed hosting and care service; project scope and revision rounds; prices and payment dates; hosting and email limits; support hours; maintenance responsibilities; backup coverage and retention; third party licences and portability restrictions; and any agreed variations. It will also record any migration quote, consumer early-start choices and applicable processing details.

The schedule must specify the data return format, retrieval deadline and active and residual backup deletion periods before processing begins. Both parties must retain the accepted quotation, these dated terms and any separately recorded consent or signature. We will provide a copy in a form you can keep. Customer-specific details are supplied privately and are not published on this page.

Data processing schedule

Processing details

This schedule applies when we process personal data on your behalf. The applicable data protection laws include the UK GDPR and Data Protection Act 2018 as amended. “Controller”, “processor”, “personal data” and “personal data breach” have their statutory meanings.

The subject matter is the agreed website and email services. Processing includes hosting, storage, transmission, support access, backup, restoration, migration and deletion as needed to provide them. Processing lasts for the service term and the agreed return and deletion periods. You determine its purposes and give lawful documented instructions.

Before processing starts, record the actual categories of people and data involved, processing locations, suppliers and technical safeguards. Typical categories may include customer staff, website visitors, enquirers and email correspondents; names, contact details, account identifiers, messages, form submissions and relevant logs. These examples do not authorise collecting additional data. Special category data, criminal offence data and other high risk processing require express agreement and suitable safeguards before inclusion.

Our duties as processor

We will:

  • Process personal data only on your documented instructions, including for international transfers, unless UK law requires otherwise. Where permitted, we will inform you of that legal requirement before processing. We will tell you immediately if, in our opinion, an instruction infringes applicable data protection law.
  • Ensure authorised people are bound by confidentiality and access is limited to what they need for the service.
  • Implement appropriate technical and organisational measures under Article 32, including appropriate access controls, secure transmission, credential protection, recovery arrangements and proportionate checks of security effectiveness. The agreed measures must be recorded below.
  • Notify you without undue delay after becoming aware of a personal data breach affecting your data, provide available information and cooperate with containment, investigation and legally required notifications.
  • Taking account of the processing and information available to us, assist with data subject rights, security obligations, breach notifications, impact assessments and prior consultation with regulators.
  • Provide information reasonably needed to demonstrate compliance and allow and contribute to audits and inspections by you or an authorised auditor. Reasonable notice and confidentiality arrangements must not obstruct a necessary urgent investigation or statutory right.
  • At your choice, return or delete personal data at the end of the services and delete copies unless law requires retention. Residual backups remain protected until the defined expiry date. Basic return in an available standard format or deletion does not require purchasing assisted migration. Any additional bespoke assistance charge must be agreed and must not obstruct our legal duties.

Suppliers and international transfers

You authorise the sub-processors listed in the completed supplier register. We will give at least 30 days' advance written notice of an intended addition or replacement, allowing you to object on reasonable data protection grounds. We will seek a reasonable solution; if none is available before the change, either party may end the affected service and we will refund unused prepaid fees for it.

We will impose equivalent relevant data protection obligations on sub-processors and remain responsible to you for their performance. We will not make a restricted international transfer without an applicable lawful safeguard and the required assessment. Supplier tools used to process your personal data, including AI tools, must be covered by these arrangements. We will not use your hosted personal data for unrelated AI training or our own marketing.

Processing details provided with your order

Before processing starts, the agreed schedule will identify the controller and authorised contact, categories of people and personal data, operations and purposes, any agreed sensitive data, relevant supplier legal names and functions, storage and access locations, transfer safeguards, security measures, email backup coverage, return format and deletion periods. The seven day daily restore window is distinct from any additional supplier backup retention. Customer and Visualiseo incident contacts will also be recorded; our privacy contact is privacy@visualiseo.co.uk.
